Terms and Conditions

Worthiom platform is an electronic platform owned by a digital IT company officially registered in the Kingdom of Saudi Arabia under commercial registration number: 1010861764. The platform operates by facilitating the intermediary process between farmers and beneficiaries in the sale of vegetables, fruits, and any other crops, products, or agricultural tools. It enables farmers to showcase their farm produce and sell them to the beneficiaries.

The following terms, as mentioned in this agreement – the Terms and Conditions – are defined as follows:

Beneficiary or Beneficiaries: Any establishment or individual who uses the platform for the purpose of purchasing products or other agricultural goods offered by farmers.

Products: Vegetables, fruits, leafy greens, food products in general, as well as agricultural tools and products such as fertilisers, plows, or any other products related to or associated with agriculture. This includes all items displayed on the platform by farmers or others who are authorised to showcase their products through the platform.

Farmers or Sellers: Individuals or entities who own or produce the products and offer them for sale through the platform.

Platform: It refers to the “Worthiom Platform” on Android and iPhone applications, the website, and any other electronic platforms.

Account: It is the record or page specific to the user created to enable them to benefit from the platform’s services and have the ability to buy and sell.

User or Users: The entity or individual who registers their information in the account and is the actual owner of the account, whether they are a farmer, seller, or beneficiary.

First: Account Registration Terms:

1. For entities, they must be officially registered in the Kingdom of Saudi Arabia. For individuals, you must be over 18 years old.

2. You must register on the platform to benefit from its services. To complete the registration process, you need to provide accurate information, including your full name as it appears in the entity’s registry or your national ID, your current address, mobile number, email address, and any other required information as specified on the registration page.

3. The platform has the right, based on the granted authorities in this agreement, to reject an account creation request without providing a reason. It also has the right to cancel or disable an account at any time if it is discovered that the account owner has provided false or inaccurate information or if, according to its personal judgment, the account owner has violated the terms of use or any part thereof.

4. The platform considers the email address, phone number, and any other addresses associated with the customer as official means of communication and notifications. The platform will use these means to notify the user of any information or updates.

5. The user is responsible for safeguarding their account information and must ensure the security of their password. The platform is not responsible for any damages that may occur due to the user’s negligence or failure to maintain the security of their account and password.

6. The user is responsible for all activities and content uploaded to the platform using their account, such as data, graphics, images, and links (advertising content). They are solely responsible for any infringement of intellectual property rights or trademarks that may arise from such content. The user also agrees not to upload or transmit any viruses or destructive code.

7. The user is responsible for the accuracy and safety of their entered data and addresses. They are also responsible for the accuracy and safety of credit card information and bank account details they have provided.

8. Any breach or violation of any provision in the terms of use may result in the disabling, cancellation, or deletion of the user’s account as deemed appropriate by the platform.

9. The platform’s role is limited to providing intermediary services, facilitating and bridging perspectives (brokerage) between farmers and beneficiaries. The platform does not assume any responsibility for any transactions conducted through it.

Second: Buying and Selling Services

1. When a farmer or seller wishes to offer products for sale, they must provide an accurate description of the products and their condition, in accordance with the advertisement template provided on the platform. They must also specify the value of the products they are offering.

2. If it is discovered that the farmer or seller has provided a description of the products that does not match their true condition or if the products are damaged or do not match the description provided on the platform, the user has the right to refuse to receive the products and request a refund, in accordance with the return policy specified in this agreement.

3. If it is proven that the farmer or seller has provided a description of the products that does not match their true condition or if the products are damaged, counterfeit, or not in good condition, the platform has the right to cancel the order and refund the beneficiary, with the farmer or seller bearing any expenses and damages caused by their violation, whether on the platform or to the beneficiary. This includes, but is not limited to, the cost of transportation vehicles sent by the beneficiary to inspect and receive the products from the farmer or seller.

4. The platform reserves the right to provide government authorities with any regulatory violation committed by the user, especially violations related to the anti-commercial fraud system or violations of the regulations and instructions of the Ministry of Environment, Water and Agriculture, and the General Authority for Food and Drug Administration. The platform also reserves the right to sue anyone who violates the provisions of this agreement.

5. The beneficiary may be allowed to communicate with the farmer or seller and negotiate with them regarding the quantity and price of any of the products offered on the platform, if desired. This communication and negotiation take place through the platform. After agreeing on the quantity and price, the purchase order is approved.

6. After the purchase order of the products is approved by the farmer or seller and the beneficiary, the platform deducts the value of the products from the Visa/MasterCard or receives the amount through a bank transfer or other cards or payment methods owned by the beneficiary. Afterward, the order is confirmed, and the platform retains the deducted amount to ensure the execution and completion of the sale.

7. The user’s payment for the value of the products is considered an acknowledgment of the validity of all the procedures and negotiations that preceded the payment.

8. If the beneficiary fails to pay for the approved purchase of the products for more than one hour, the purchase order will be canceled and considered null and void. The platform has the right to complete the order and demand payment from the beneficiary, whether through the platform itself or through the farmer or seller.

9. The farmer or seller is obligated to reserve the quantity for which a purchase order has been approved by the beneficiary, and they are also obligated to deliver it to the beneficiary or to the authorised person designated by the beneficiary, whether they are their own employees or other shipping companies.

10. The beneficiary is required to collect the products from the farmer or seller within a maximum period of 24 hours from the transfer of the payment. If there is a delay beyond this period, the beneficiary assumes full responsibility for any damage, loss, or harm that may occur to the products, and the platform and the farmer will not be held liable for any responsibilities towards them.

11. The platform does not assume any responsibilities for any incidents or liabilities that occur regarding the products or the beneficiary, farmer, or seller as a result of the buying and selling process conducted through the platform. The role of the platform is limited to acting as an intermediary without assuming any liability. Users acknowledge that the platform is free from any claims arising from the purchase and sale transactions conducted between them through the platform.

12. Invoices and related documents regarding the order will be issued based on the registered user’s name on the platform, their commercial registration number, and their registered tax number (if applicable), as well as the information registered on the platform.

13. The beneficiary is obligated to be present or send a representative from their affiliates or agreed-upon shipping companies to receive the purchased products within a maximum period of 24 hours from the time the order is approved, and the agreed-upon amount is transferred to the farmer.

14. The beneficiary must notify the farmer, seller, or platform through the designated procedure on the platform regarding the person who will be receiving the products. They should provide the receiver’s identification information and their authorised signature for receipt confirmation.

15. The acknowledgement of the beneficiary or their representative regarding the receipt of the products, whether through signing to confirm receipt, providing the verification code to the farmer or seller, or any other method adopted by the platform later to prove the receipt of the products, constitutes an acknowledgment from the beneficiary that they have received the products in their entirety and in the condition described on the platform, which they agreed to purchase. Afterward, the beneficiary has no right to object or make any payments that contradict this acknowledgment. Furthermore, the beneficiary has no right to demand the platform, farmer, or seller to return the products or any part thereof, or to refund any of the amounts paid for the purchase of the products.

16. The platform retains the amount for the products until it is received by the beneficiary. Afterward, the amount is transferred to the farmer or seller within 10 days from the date of the beneficiary’s receipt of the products, unless the beneficiary raises any disputes, complaints, or objections regarding the sale. In such cases, the platform may postpone the transfer process until the resolution of the dispute or complaint.

17. The amount is transferred to the farmer or seller after deducting the platform’s commission as stipulated in the terms and conditions agreement.

18. If there are defects in some of the products that have been purchased by the beneficiary before receiving them, they have the right to refuse to accept them. They should take pictures of the defective products at that time and specify their quantity in order to deduct their value from the farm or seller’s dues and return them to the beneficiary.

19. If the beneficiary raises an objection to the goods within 48 hours, the platform will hold the amount until the validity of the objection is verified. At that point, the return policy stated in this agreement will apply. The platform has the right, if the matter is not resolved between the farm or seller and the beneficiary amicably, to consider and decide on the dispute. Its decision is final and binding on the farm or seller and the beneficiary. During the dispute, the platform may hold the amount until a settlement is reached or a decision is made on the dispute, and based on that, the amount will be transferred to the deserving party.

20. The farm or seller is not allowed to withdraw from the sale process after the purchase order has been approved, and the beneficiary is not allowed to withdraw from the purchase process after the amount has been transferred to the platform or paid through one of the available payment methods on the platform.

21. In the event of a complaint or dispute between the farm, seller, or beneficiary regarding the products, their sale, receipt, quality, or other matters related to the sale process that took place between them, even if this dispute arises after the beneficiary has received the products, recourse is made to the platform to decide on this dispute. The parties involved (the farm or seller – the beneficiary) agree to consider the platform as the arbitrator in these disputes, and its decision is binding. Neither party has the right to object to this decision or refuse to implement its content. The platform determines and approves the mechanism through which the arbitration process between the parties will be conducted and the dispute will be resolved. The platform also determines the arbitration costs, who bears them, the payment method, and other details and procedures related to arbitration between the disputing parties, regardless of their nature.

22. The platform has no relationship or responsibility regarding the shipping and delivery of products, nor in the process of receipt and delivery that takes place between the farm or seller and the beneficiary.

23. The farm or seller is not allowed to communicate outside the platform with the beneficiaries who have made purchases through the platform. They are obliged not to sell to them or engage with them except through the platform. In case of violation, they are obligated to pay the platform a percentage of 25% of any amount.

24. The beneficiary is not allowed to communicate or engage with the farm or seller outside the platform. In the event of a violation, the beneficiary is obligated to compensate the platform with 25% of the transactions in which they violated this rule.

Third: Sold Products

1. The platform sells products such as vegetables, fruits, paper products, general food items, agricultural products and tools, and other items that may be offered later on the platform.

2. Selling non-referenced products mentioned above is prohibited on the platform.

3. Selling damaged, in poor condition, harmful, prohibited, or products containing harmful pesticides or diseases, or any products that do not adhere to the prescribed instructions for cultivation and harvesting set by responsible authorities, is prohibited on the platform. The farm or seller bears full responsibility towards the beneficiaries and the responsible authorities for any damages that may occur to the beneficiaries or their customers due to the products they have sold. The platform does not assume any responsibilities for these violations, as its role is limited to mediation only.

Fourth: Payment Services

1. The user must enter valid and accurate credit card information (Visa/MasterCard) or other available payment method details on the payment page.

2. The user is prohibited from fraudulently using an invalid or unauthorised payment method. The use of stolen payment methods is also prohibited, and the user bears responsibility for any violations of this clause.

3. The platform, through an electronic payment intermediary, will deduct the value of the products from the credit card or authorised payment method provided by the user.

4. The beneficiary’s purchase order is considered authorisation from them for the platform to deduct the value of the products.

5. All purchases are made in Saudi Riyals, and all payments must be made in the Saudi currency. If the user chooses to pay using a different currency, they will bear the expenses, fees, and any currency conversion charges or other bank fees incurred.

6. The platform retains the value of the products and does not transfer it to the farmer or seller until the specified period in the terms and conditions agreement has elapsed, and without any objection being raised by the recipient upon receiving the products.

7. The value of the products is deposited into the bank account of the farmer or seller as recorded in their account on the platform. Likewise, the value of the products is refunded to the recipient through their bank account recorded in their account on the platform. The transfer or refund process takes approximately 14 business days, and the user receiving the transfer is responsible for any transfer expenses.

8. The recipient grants the platform the right to provide Visa, Mastercard, or any other payment service provider with their credit or bank card information.

9. The platform may request the recipient’s identification number for purposes related to verifying the validity and safety of the credit card or bank account or verifying the accuracy of any other payment method’s information.

10. The recipient is responsible for activating any payment method made through their account.

11. In the event that the farmer or seller is registered for Value Added Tax, they must provide the platform with a copy of the tax certificate.

12. If the farmer or seller is registered for Value Added Tax, they must notify the platform so that invoices can be processed according to the requirements of the relevant authorities. If they fail to do so, they will bear all financial and regulatory consequences, and the platform will not be liable for any financial, tax, or other obligations.

13. The farmer or seller is not entitled to demand that the platform collect Value Added Tax and transfer it to their account unless they submit a request to the platform before the platform files its tax returns for the transactions conducted through it.

Fifth: Return Policy

1. The recipient has the right to request a return of the products or some of them before receiving them, in case it becomes apparent to them that the description and specifications stated in the product listing on the platform do not match their actual condition. The recipient must provide evidence of this by photographing the non-compliant products and uploading the pictures to the platform. At that point, the platform will decide whether to accept the recipient’s refusal to receive the products and initiate a refund or reject it and require the recipient to pay for and receive the products.

2. After the recipient has received the products, they are not entitled to request a return, object to their condition, or raise any other claims regarding them.

Sixth: Platform Rights

1. The platform is entitled to a commission of 6% of the value of each sold product, with a minimum of 50 Riyals, for every transaction carried out through it. The farmer or seller is responsible for paying the commission, and they agree to deduct the commission from the value of the products.

2. The platform has the right to modify the terms and conditions agreement and privacy policy at any time without prior consent from the user. The user will be notified of any updates or modifications to the terms and conditions agreement and privacy policy. The revised version of the terms and conditions agreement will be effective seven days after its publication. By continuing to use the platform after the publication, the user is considered to have agreed to the modifications made.

3. The platform has the right to provide relevant authorities or entities with the user’s transaction records and personal data. The user acknowledges and agrees to this.

Seventh: Liability

1. The farmer and seller acknowledge that advertising or selling non-compliant, harmful, or counterfeit products is considered a violation of Saudi regulations and carries legal penalties.

2. The platform’s role is limited to providing mediation, facilitation, and bridging of perspectives (brokerage) between the farmer/seller and the recipient/buyer. Through its services, the platform does not confirm or authenticate the safety of any offered products. The platform disclaims any responsibility for the use of the platform for selling non-compliant, harmful, or counterfeit products, or any other misuse or violation of regulations or this agreement.

3. The platform does not act as an agent for the farmer/seller and does not guarantee or ensure the quality and safety of the offered products. In the event of a dispute between the farmer/seller and the recipient/buyer, neither party can hold the platform liable or seek compensation from it.

Eighth: Logistics Services

1. The platform does not have any obligations towards users regarding logistics services.

2. The platform may add a page as a service to users that contains information about shipping companies that users can contact and benefit from their services. This does not constitute an endorsement by the platform of the quality of the services provided by these companies, nor does it have any responsibility towards users regarding contracting and dealing with these companies.

Ninth: Reference Price Screen

1. The platform will have a screen and a scrolling bar displaying a daily reference index for the average prices of products based on the sales transactions made through the platform on that day.

2. The reference index is not binding on users in buying and selling transactions.

3. The reference index is a measure for reference only, and the platform does not confirm its accuracy or the validity of the information contained in it. The platform also does not assume any responsibility for any decisions made by users based on the information provided in the index.

Tenth: Auctions

1. The platform allows users to buy and sell through auctions, which can be accessed through the dedicated section and icons on the platform.

2. The auction process involves the seller presenting their products in the auction, providing an accurate description, quantity, and all relevant information required by the platform.

3. The seller determines the starting price for the auction, the final selling price, the minimum bidding amount, the duration of the auction, the delivery schedule to the customer, and other information required by the platform or necessary to complete the auction process.

4. If the auction is awarded to a beneficiary, whether by reaching the highest specified price from the farmer or the seller, or by the expiration of the auction time, or for any other reason, it is the responsibility of the beneficiary to pay the required amount that the auction was awarded to them for. In addition, the platform may impose fees and taxes within (30 minutes) after which, if the required amount is not paid, the platform has the right to cancel the auction process. The beneficiary does not have the right to demand the completion of the sale or claim the products. The platform also has the right to demand payment from the beneficiary and obligate them to pay the amount for which the auction was awarded to them.

5. The farmers or sellers undertake to provide all the necessary information to describe the products and clarify their details to the beneficiary sufficiently and in accordance with reality.

6. Farmers or sellers are not allowed to manipulate the auction prices or bids by colluding with parties to enter and engage in non-genuine bidding or by any means.

7. The farmers or sellers acknowledge that the platform will not bear any consequences for the beneficiary’s failure to pay the amount for which the auction was awarded to them, even if this is repeated by the same beneficiary or multiple beneficiaries. They also acknowledge that they are aware of and have read the complete auction policy, and that they have accepted and agreed to it. Furthermore, they acknowledge and agree that in the event of the beneficiary’s non-payment of the awarded amount, the farmers or sellers have the option only to re-auction the products or not.

8. The products will be automatically sold electronically if the auction reaches the specified highest value set by the farmers or sellers. The farmers or sellers’ determination of this value is considered their acceptance and affirmation of the sale, and the platform is not required to seek their approval again for the sale or obtain their consent.

9. If the farmers or sellers specify a certain duration for completing the sale through the auction without setting a price limit, the sale will be automatically executed electronically when the auction duration ends with the last beneficiary who placed the highest bid, without the need to consult the seller or farmers for their approval. Their determination of the sale with a specified time period is considered their acceptance and affirmation of the sale.

10. The farmers or sellers do not have the right to demand that the platform obligate the beneficiary to proceed with the sale and payment. Their rights in case of the beneficiary’s failure to make the payment will be limited to re-auctioning the products only.

11. The platform will not assume any responsibilities towards users collectively regarding the auction, regardless of the form or nature of such responsibilities or the consequences arising from them.

Eleventh: General Provisions

1. The platform may allow users to rate each other and comment on the quality of service provided by the user and their manner of interaction, or on the services provided through the platform. No user has the right to object to the ratings or comments made about them by other users.

2. The user is responsible for the ratings and comments they issue to other users or to the platform and its services.

3. Official communication is carried out through notifications sent to the user’s account on the platform or to the user’s registered addresses in their account. The use of the aforementioned means is considered valid proof of notification to the user.

4. The laws and regulations of the Kingdom of Saudi Arabia apply to the provisions of this agreement. The competent authority in the city of Riyadh has jurisdiction over any dispute brought against the platform.
